UNLESS YOU TIMELY OPT OUT OF ARBITRATION AS PROVIDED IN SECTION 16, YOU AND BON HEALTH CORPORATION AGREE THAT ALL DISPUTES BETWEEN YOU AND US (WITH LIMITED EXCEPTIONS) WILL BE RESOLVED BY FINAL AND BINDING INDIVIDUAL ARBITRATION, AND YOU AND WE WAIVE ALL RIGHTS TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.
IF YOU HAVE A MEDICAL EMERGENCY, CALL 911 OR GO TO THE NEAREST EMERGENCY ROOM IMMEDIATELY. THE SITE IS NOT APPROPRIATE FOR MEDICAL EMERGENCIES OR ANY URGENT CLINICAL NEED.
THESE TERMS ARE SUBJECT TO CHANGE AS PROVIDED IN SECTION 19 BELOW.
1. Introduction; Acceptance
These Terms of Service (the "Terms") constitute a binding legal agreement between you ("you" or "your") and Bon Health Corporation, a Delaware corporation ("Bon Health," "we," "us," or "our"), governing your access to and use of bonhealth.io and any other website, application, tool, or feature owned, operated, or made available by Bon Health that links to these Terms (collectively, the "Site").
By accessing or using the Site, you agree to be bound by these Terms, our Privacy Policy, and our Medical Disclaimer, each of which is incorporated into these Terms by reference. If you do not agree to these Terms, do not access or use the Site.
2. Nature of the Site; No Medical Services
The Site is a marketing and informational website. Bon Health:
(a) does not practice medicine, nursing, pharmacy, psychology, or any other healthcare profession; (b) does not provide medical advice, clinical evaluations, diagnosis, treatment, or prescriptions through the Site; (c) does not sell, dispense, or distribute medications or medical devices through the Site; and (d) does not create a physician-patient, provider-patient, pharmacist-patient, or any comparable healthcare or fiduciary relationship with you through your use of the Site.
Any clinical consultation, medical evaluation, prescription, dispensing, laboratory testing, or other healthcare service referenced on or accessible through the Site is offered solely by independently owned and operated third parties, which may include professional medical corporations and associations (the "Medical Groups"), the individual licensed clinicians employed by or contracted with the Medical Groups (the "Providers"), licensed pharmacies (the "Pharmacies"), and clinical laboratories (the "Labs"), each acting under its own terms, consents, privacy practices, and clinical protocols (collectively with any affiliated telehealth platforms, the "Partner Platform"). Your relationship with any Medical Group, Provider, Pharmacy, or Lab is governed by that party's own terms, not these Terms.
Nothing on the Site constitutes medical advice. Please read our Medical Disclaimer before relying on any content on the Site.
3. Eligibility
You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) and legally competent to enter into a binding contract to access or use the Site. By accessing or using the Site, you represent and warrant that you meet these requirements and that all information you submit to us is truthful, accurate, current, and complete. The Site is intended for users located in the United States. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with all applicable local laws.
4. Your Use of the Site
Subject to your compliance with these Terms, Bon Health grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and the Content (as defined below) solely for your personal, non-commercial informational purposes. All rights not expressly granted to you are reserved by Bon Health and its licensors. You may not use the Site for any commercial purpose except with our prior written consent.
5. Prohibited Conduct
In connection with your access to or use of the Site, you agree that you will not:
(a) upload, submit, post, transmit, or otherwise make available any content or material that is unlawful, harmful, threatening, abusive, harassing, defamatory, libelous, tortious, vulgar, obscene, hateful, invasive of another's privacy or publicity rights, or otherwise objectionable;
(b) create a false identity or duplicative account for the purpose of misleading others, or impersonate any person or entity (including any Bon Health representative), or falsely state or misrepresent your affiliation with any person or entity;
(c) upload, transmit, or make available any material that you do not have a right to reproduce, display, or transmit under any law or under any contractual or fiduciary relationship (including non-disclosure or confidentiality obligations);
(d) upload, transmit, or distribute any material that contains viruses, trojan horses, worms, time bombs, cancelbots, spyware, ransomware, or any other malicious or destructive code, files, or programs;
(e) engage in any activity that interferes with, disrupts, or imposes an undue burden on the Site, its servers, networks, or any related systems, including by denial-of-service attacks, flooding, or similar conduct;
(f) probe, scan, or test the vulnerability of the Site or any related system or network, or breach, circumvent, or otherwise attempt to evade any security or authentication measures;
(g) reverse engineer, decompile, disassemble, translate, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organization of any part of the Site;
(h) access, copy, scrape, harvest, index, mine, or extract any part of the Site, the Content, or any data through automated means (including robots, spiders, scrapers, crawlers, or similar tools), except with our prior written consent or through publicly documented interfaces subject to any applicable rate limits and terms;
(i) use the Site to send unsolicited commercial communications, "spam," chain letters, pyramid schemes, or any similar mass solicitations;
(j) collect, harvest, or store personal information about other users, or use any contact information obtained through the Site to send unsolicited communications;
(k) frame, mirror, or in-line link any part of the Site without our prior written consent;
(l) use the Site to violate any applicable law, rule, regulation, or the legal rights of any person or entity, including any intellectual property right, right of privacy or publicity, or contractual right;
(m) remove, obscure, or alter any copyright, trademark, or other proprietary-rights notices on the Site; or
(n) assist, encourage, or permit any third party to engage in any of the foregoing.
We reserve the right, but undertake no obligation, to monitor, investigate, and take appropriate action against any use of the Site that we believe, in our sole discretion, violates these Terms or may harm Bon Health, our users, or others.
6. Intellectual Property Rights
6.1 Ownership
The Site and all content, features, functionality, and materials made available on or through it — including, without limitation, text, graphics, logos, icons, images, photographs, video, audio, software, code, design elements, layout, selection, arrangement, the "Bon Health" name and marks, and any related trade dress (collectively, the "Content" and, together with the Site, the "Bon Health Materials") — are owned or licensed by Bon Health and are protected by United States and international copyright, trademark, trade dress, patent, trade secret, and other intellectual-property and proprietary-rights laws.
6.2 License
Subject to your compliance with these Terms, we grant you the limited license described in Section 4 above. Except for that license, we reserve all right, title, and interest in and to the Bon Health Materials. No other right or license, express or implied, is granted to you, whether by estoppel, implication, or otherwise.
You may not, without our prior written permission: (a) reproduce, distribute, publicly display, publicly perform, modify, adapt, translate, publish, create derivative works of, sell, rent, lease, license, sublicense, or otherwise exploit any Bon Health Materials; (b) use any Bon Health Materials in a manner that suggests an unauthorized affiliation with, or endorsement by, Bon Health; or (c) use any Bon Health Materials for commercial purposes.
6.3 Trademarks
"Bon Health" and any related names, logos, and marks are trademarks of Bon Health. Any third-party names, logos, and marks appearing on the Site are the property of their respective owners. You may not use any such trademarks without our (or the applicable owner's) prior written consent.
6.4 DMCA / Copyright Complaints
We respect the intellectual-property rights of others and respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512. If you believe that material on the Site infringes a copyright you own or control, please send a written notice to our designated agent that includes:
- a physical or electronic signature of a person authorized to act on behalf of the owner of the copyright;
- identification of the copyrighted work claimed to have been infringed;
- identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate it;
- your contact information (address, telephone, email);
- a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and
- a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.
Notices should be sent to: DMCA Agent, Bon Health Corporation, email: contact@bonhealth.io. We may terminate the access of any user who we determine, in our sole discretion, to be a repeat infringer.
7. Feedback
If you submit ideas, suggestions, proposals, concepts, or other feedback to us regarding the Site ("Feedback"), you agree that: (a) Feedback is not confidential; (b) we may use, disclose, reproduce, and exploit Feedback for any purpose, commercial or otherwise, without compensation or obligation to you; and (c) you grant us a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, distribute, and exploit such Feedback in any manner and in any media now known or later developed.
8. User Submissions
If you submit content to or through the Site — including through contact forms, testimonials, surveys, reviews, or other submission channels ("User Submissions") — you represent and warrant that: (a) you own or otherwise have the right to submit the User Submission; (b) the User Submission is truthful, accurate, and not misleading; (c) the User Submission does not violate the rights of any third party or any applicable law; (d) the User Submission does not contain PHI, sensitive personal information, or information you wish to keep confidential; and (e) the User Submission does not contain malicious code or any material prohibited by Section 5 above.
You grant Bon Health a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, publicly display, and create derivative works of User Submissions in connection with our business and marketing activities, in any media now known or later developed, subject to the Privacy Policy.
9. Third-Party Links, Services, and the Partner Platform
The Site may contain links to or integrations with third-party websites, services, applications, platforms, or resources, including the Partner Platform. Those third parties are independent from Bon Health. We do not control, endorse, verify, or assume any responsibility for any third-party content, product, service, or practice. Your interactions with any third party accessible through the Site are solely between you and that third party and are subject to that third party's terms and policies. Bon Health is not a party to, and is not responsible or liable for, any service, product, consultation, prescription, dispensing, or other interaction between you and any Medical Group, Provider, Pharmacy, Lab, or other Partner Platform participant. You release Bon Health from any claim arising out of any such third-party relationship to the fullest extent permitted by law.
10. Privacy
Your use of the Site is also subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the collection, use, and disclosure of information as described in the Privacy Policy.
11. Communications; SMS and Email Consent
You agree that Bon Health may communicate with you electronically regarding the Site, these Terms, and our products and services, including by email, by SMS/MMS text message (if you have provided your mobile telephone number and opted in), and by notices posted on the Site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law.
Our marketing email and text-message programs are governed by our Marketing Communications Consent & SMS/Email Program Terms (the "Marketing Terms"), which are incorporated into these Terms by reference. The Marketing Terms describe the communications you may receive, the consent you provide, message frequency, message-and-data-rate disclosures, and how you may opt out. By opting in to a marketing program, you agree to the Marketing Terms.
Marketing text messages and marketing emails are not a condition of purchasing any goods or services or of receiving any service from Bon Health or the Partner Platform. You may opt out of marketing emails at any time through the unsubscribe link in each marketing email, and may opt out of marketing text messages at any time by replying STOP (or another supported keyword) to any such message, in each case as further described in the Marketing Terms. Standard message and data rates may apply to SMS communications. Even if you opt out of marketing communications, Bon Health may continue to send you transactional, service-related, security-related, and other non-marketing communications.
12. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. BON HEALTH, TOGETHER WITH ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AFFILIATES, SUBSIDIARIES, AND SUPPLIERS (COLLECTIVELY, THE "BON HEALTH PARTIES"), AND EACH THIRD PARTY OFFERING PRODUCTS OR SERVICES THROUGH OR IN CONNECTION WITH THE SITE, INCLUDING THE MEDICAL GROUPS, PROVIDERS, PHARMACIES, AND LABS, DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, THE BON HEALTH PARTIES DO NOT WARRANT THAT: (A) THE SITE OR CONTENT WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS; (B) THE CONTENT IS ACCURATE, COMPLETE, RELIABLE, CURRENT, OR APPROPRIATE FOR YOUR PARTICULAR CIRCUMSTANCES; (C) ANY DEFECTS WILL BE CORRECTED; OR (D) THE SITE OR ANY CONTENT WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

TO THE EXTENT APPLICABLE LAW DOES NOT PERMIT THE DISCLAIMER OF AN IMPLIED WARRANTY, THE SCOPE AND DURATION OF THAT WARRANTY AND OUR LIABILITY SHALL BE THE MINIMUM PERMITTED UNDER APPLICABLE LAW. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE BON HEALTH PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, REPUTATION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR ANY CONTENT; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR IN CONNECTION WITH THE SITE, INCLUDING ANY MEDICAL GROUP, PROVIDER, PHARMACY, LAB, OR OTHER PARTNER PLATFORM PARTICIPANT; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR (D) ANY OTHER MATTER RELATING TO THE SITE OR THESE TERMS, regardless of the legal theory asserted (contract, tort including negligence, strict liability, statute, or otherwise), and even if a Bon Health Party has been advised of the possibility of such damages.
THE AGGREGATE LIABILITY OF THE BON HEALTH PARTIES ARISING OUT OF OR RELATING TO THE SITE, THE CONTENT, OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (I) THE TOTAL AMOUNT YOU HAVE PAID TO BON HEALTH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (II) ONE HUNDRED U.S. DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, the Bon Health Parties' liability will be limited to the greatest extent permitted by applicable law.
You acknowledge and agree that the disclaimers, exclusions, and limitations in Sections 12 and 13 are an essential basis of the bargain between you and Bon Health, reflect a reasonable allocation of risk between the parties, and that Bon Health would not provide the Site without these limitations. These provisions will survive any failure of essential purpose of any limited remedy.
14. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Bon Health Parties, and each third party offering products or services through or in connection with the Site (including the Medical Groups, Providers, Pharmacies, and Labs), from and against any and all suits, actions, claims, demands, proceedings, damages, settlements, judgments, fines, penalties, liabilities, obligations, losses, costs, and expenses (including reasonable attorneys' fees and litigation costs) arising out of or in any way relating to: (a) your access to or use of the Site; (b) your breach or alleged breach of these Terms, the Privacy Policy, the Medical Disclaimer, or any representation or warranty you have made; (c) your User Submissions; (d) your fraud, willful misconduct, negligence, or violation of any applicable law, rule, or regulation; or (e) your violation of any third-party right, including any intellectual property, privacy, publicity, contractual, or other right.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense, and to select counsel of our choosing. You will not settle any claim subject to indemnification without our prior written consent.
15. Governing Law and Venue
These Terms, and any dispute, claim, or controversy arising out of or related to them or your use of the Site, are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles, and, where applicable, the Federal Arbitration Act, 9 U.S.C. §§ 1 et seq., and other applicable federal law. Subject to Section 16 below, the exclusive venue for any dispute not subject to arbitration shall be the state and federal courts located in the State of Delaware, and you and Bon Health consent to the exclusive personal jurisdiction and venue of such courts and waive any objection based on forum non conveniens.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
16. Dispute Resolution; Binding Arbitration; Class Action Waiver
16.1 Agreement to Arbitrate
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. UNLESS YOU TIMELY OPT OUT OF ARBITRATION AS PROVIDED IN SECTION 16.6 BELOW, YOU AND BON HEALTH AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY BETWEEN YOU AND BON HEALTH ARISING OUT OF OR RELATING TO THESE TERMS, THE MARKETING TERMS, THE SITE, THE CONTENT, ANY SERVICES, ANY ADVERTISING OR OTHER ACTIVITY ON THE SITE, OR ANY COMMUNICATIONS BETWEEN YOU AND BON HEALTH (INCLUDING ANY MARKETING OR OTHER EMAIL OR TEXT (SMS/MMS) MESSAGES, AND INCLUDING ANY CLAIM ARISING UNDER THE TELEPHONE CONSUMER PROTECTION ACT, THE CAN-SPAM ACT, OR ANY SIMILAR FEDERAL OR STATE STATUTE) (EACH, A "DISPUTE") SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT, except as set forth in Section 16.5 below.
The Federal Arbitration Act governs the interpretation and enforcement of this Section 16. This arbitration agreement survives termination of these Terms.
16.2 Informal Resolution
Before initiating any arbitration, you agree to first contact us at contact@bonhealth.io with a written notice of Dispute that includes your name, address, a description of the Dispute, the relief you seek, and your signature. If we have a Dispute against you, we will send a similar notice to the email or other contact you have provided. The parties agree to attempt in good faith to resolve the Dispute informally for at least sixty (60) days before initiating arbitration. The period for informal resolution tolls any applicable statute of limitations.
16.3 Arbitration Procedure
If the Dispute is not resolved informally within the sixty (60)-day period, either party may initiate arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (the "AAA Rules") then in effect, as modified by these Terms. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879.
The arbitration will be conducted by a single, neutral arbitrator. The arbitrator will have exclusive authority to resolve any Dispute, including any claim that these Terms or any portion of them are unenforceable, except that a court will decide issues relating to the enforceability or scope of the class action waiver in Section 16.4.
The seat of arbitration will be Delaware, but (a) arbitration may be conducted in person, by submission of documents, by telephone, or by videoconference at the election of the party initiating arbitration, and (b) for any Dispute in which the claimant seeks less than $25,000, the arbitration will be conducted by documents or by telephone or videoconference unless the parties agree otherwise. The arbitrator will issue a reasoned written decision sufficient to explain the essential findings and conclusions. The arbitrator's award will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Each party will bear its own attorneys' fees and costs unless applicable law or the AAA Rules provide otherwise.
16.4 Class Action Waiver
YOU AND BON HEALTH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If a court decides that applicable law precludes enforcement of any of the limitations of this Section 16.4 as to any particular claim for relief, then that claim (and only that claim) must be severed from the arbitration and may be brought in court, subject to Section 15.
16.5 Exceptions to Arbitration
Notwithstanding the foregoing, (a) either party may bring an individual action in small claims court if the claims qualify and remain in such court; and (b) either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual-property rights or to address unauthorized access to or use of the Site.
16.6 30-Day Right to Opt Out
You may opt out of the arbitration agreement in Section 16.1 by sending written notice of your decision to opt out to contact@bonhealth.io within thirty (30) days after first accepting these Terms. Your notice must include your name, address, email address, and a clear statement that you wish to opt out of arbitration. If you opt out of arbitration, all other provisions of these Terms (including Section 15) will continue to apply.
16.7 Changes to This Section
If Bon Health makes a material change to this Section 16 after you accept these Terms, you may reject that change by sending written notice to contact@bonhealth.io within thirty (30) days after the change, in which case the most recent version of this Section 16 prior to the change will continue to apply to you.
17. Termination
We may suspend, restrict, or terminate your access to the Site at any time, with or without notice, for any reason or no reason, including if we believe, in our sole discretion, that you have violated these Terms. Upon termination, your right to access and use the Site will immediately cease.
17.1 Survival
The following provisions will survive any termination of these Terms or your use of the Site: Section 2 (Nature of the Site), Section 5 (Prohibited Conduct), Section 6 (Intellectual Property Rights), Section 7 (Feedback), Section 8 (User Submissions), Section 9 (Third-Party Links), Section 10 (Privacy), Section 11 (Communications), Section 12 (Disclaimers), Section 13 (Limitation of Liability), Section 14 (Indemnification), Section 15 (Governing Law), Section 16 (Dispute Resolution), Section 17 (Termination and Survival), and Sections 18–25.
18. Force Majeure
Bon Health will not be liable or responsible for any failure to perform, or delay in performance of, any obligation under these Terms caused by events beyond our reasonable control, including, without limitation, acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, epidemics or pandemics, governmental actions, power or communications failures, internet disturbances, or failures of third-party service providers.
19. Changes to the Terms and the Site
We may modify these Terms at any time. When we do, we will revise the "Last updated" date at the top of this document. If the changes are material, we will provide additional notice, such as a prominent notice on the Site or an email to you. No failure or delay by Bon Health in exercising any right, power, or remedy under these Terms will operate as a waiver, and no single or partial exercise will preclude any further exercise. No waiver of any provision of these Terms will be effective unless it is in writing and signed by Bon Health.
23. No Third-Party Beneficiaries
Except as expressly provided herein (including for the benefit of the Bon Health Parties and the third parties identified in Sections 12, 13, and 14), there are no third-party beneficiaries to these Terms.

25. Entire Agreement
These Terms, together with our Privacy Policy, our Medical Disclaimer, our Marketing Communications Consent & SMS/Email Program Terms, and any other policies or terms referenced herein, constitute the entire agreement between you and Bon Health with respect to your use of the Site and supersede all prior or contemporaneous communications, understandings, and agreements, whether oral or written, between you and Bon Health with respect to the subject matter hereof.
